There is an Ethics Committee appointed by the U.S. Ski & Snowboard Board of Directors. No more than one member of the Ethics Committee may be a director at any one time. The other two members are proposed by the Nomination and Governance Committee and approved by the Board of Directors and considered every two years for retention with no limit on the number of terms that can be served. The Ethics Committee is responsible for the administration of the written code of conduct and ethical practices promulgated by the Board. The U.S. Ski & Snowboard Ethics Committee is a permanent standing committee.
The Board adopts a written code of conduct and ethical practices for U.S. Ski & Snowboard which includes the requirement that each officer and member of the Board and of each Sport Committee, as well as staff members, agree in writing to abide by such code. The code may be amended by the Board as advisable.
The code is administered by the U.S. Ski & Snowboard Ethics Committee, and includes the following restrictions:
- Any officer of U.S. Ski & Snowboard, or member of the Board, or of any Sport Committee, who has a financial interest in any contract or transaction involving U.S. Ski & Snowboard has no vote with respect to approval of such contract or transaction; and
- No director of U.S. Ski & Snowboard, member of a Sport Committee, or other U.S. Ski & Snowboard member, will receive any form of compensation or reimbursement of travel expenses from U.S. Ski & Snowboard unless specifically authorized by the Board, except that eligible athlete representatives may be reimbursed for travel expenses.
The Ethics Committee reviews written conflict of interest disclosures by the Board of Directors, Designated Committee members, and other key employees at least once annually.
